Thoma Bravo to Acquire Verint in $2B Deal

Thoma Bravo has signed a definitive agreement to acquire Verint in an all-cash transaction valued at $2 billion. The deal, unanimously approved by Verint’s Board of Directors, is expected to close by early 2026, pending shareholder approval, regulatory clearances, and other standard closing conditions. Notably, the agreement does not include a financing condition, showingThoma Bravo’s confidence in the transaction.

Following the merger, Verint will combine with Calabrio, creating a powerhouse in the $ 50 billion+ Customer Experience (CX) Automation market. The unified company will deliver an expanded suite of AI-powered solutions designed to help businesses achieve stronger outcomes in customer engagement. Calabrio has emphasised its commitment to ongoing investment in current products to ensure continued support for existing customers.

Once finalised, Verint’s common stock will be delisted from public exchanges. In the meantime, the company has suspended quarterly earnings calls, financial guidance, and its share repurchase program in light of the pending acquisition. Certain shareholders and board members, representing about 14.5% of Verint’s voting power, have already agreed to back the deal through voting agreements.
