NiCE to Acquire Cognigy for $955M to Build Unified AI Platform for Customer Experience

NiCE has signed a definitive agreement to acquire conversational AI company Cognigy in a deal valued at approximately $955 million.
The acquisition combines NiCE’s CXone Mpower platform with Cognigy’s conversational and agentic AI capabilities to accelerate the adoption of AI-first customer experiences across both the front and back office.
The agreement was unanimously approved by NiCE’s board of directors. The transaction includes a $50 million time-bound holdback, consisting of $25 million in cash and 158,000 American Depositary Shares, and will be financed using the company’s existing funds. Closing is expected in the fourth quarter of 2025, pending regulatory approvals.
Cognigy’s platform, Cognigy.AI, enables enterprises to deploy AI agents that operate autonomously across channels and languages, delivering real-time, human-like service while allowing human agents to focus on complex tasks. The company’s clients include Mercedes-Benz, Nestlé, and Lufthansa Group. It is expected to achieve 80% ARR growth in 2026.
